1. The Parties and Agreement to Terms

These Terms and Conditions ("Terms") are entered into between you ("User", "you") and OENOCV ("OENOCV", "we", "us", "our"), the operator of the Service accessible at oenocv.ai.

By accessing or using OENOCV (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and OENOCV.

If you do not agree to these Terms in their entirety, you must not access or use the Service.

The Service is intended for users aged 18 and over. By using the Service, you represent and warrant that you are at least 18 years of age and have the full legal capacity to enter into these Terms in the jurisdiction where you reside. OENOCV does not knowingly collect personal data from individuals under the age of 13. If you believe we have inadvertently collected such data, please contact us immediately at support@oenocv.ai.

You agree to receive communications relating to the Service electronically, including notices, agreements, and updates delivered by email or posted within the Service. You agree that such electronic communications satisfy any legal requirement that such communications be in writing.

2. Description of Service

OENOCV provides AI-assisted resume analysis, job market matching, and career document generation tools, including CV and cover letter drafting ("Service"). The Service is provided on a subscription basis with both free and paid tiers.

You are responsible for maintaining the security and confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@oenocv.ai of any unauthorized use of your account.

3. AI-Generated Content — Disclaimer and Limitations

OENOCV uses artificial intelligence to generate documents including CVs, cover letters, career analyses, and related content. All AI-generated content is provided for informational and assistive purposes only. The Service is a tool to support your career preparation — it does not constitute career advice, legal advice, or a guarantee of any employment outcome.

OENOCV does not warrant the accuracy, completeness, originality, or fitness for purpose of any AI-generated output. AI systems can produce errors, omissions, or content that does not accurately reflect your background or experience.

You acknowledge that AI-generated outputs may reflect limitations or inaccuracies inherent in underlying models and training data. Such outputs may not comply with applicable employment laws, anti-discrimination regulations, or other legal requirements in your jurisdiction. You are solely responsible for ensuring that any content you submit to prospective employers or other third parties complies with all applicable laws, including those governing misrepresentation, equal opportunities, and data protection.

OENOCV expressly disclaims liability for any employment decision, loss of opportunity, reputational harm, regulatory consequence, or other loss arising from your reliance on AI-generated content.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to create employment documents that intentionally misrepresent material facts with the purpose of deceiving prospective employers or third parties;
• Reverse engineer, scrape, copy, or extract data or functionality from the Service by automated means;
• Share, resell, sublicense, or otherwise commercially exploit your account or generated outputs without prior written consent from OENOCV;
• Upload content that infringes the intellectual property rights of any third party;
• Transmit viruses, malicious code, or any content that disrupts or interferes with the Service;
• Attempt to gain unauthorized access to any part of the Service or its infrastructure;
• Use the Service in any manner that violates applicable law, including employment fraud statutes or anti-discrimination laws.

OENOCV reserves the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating access to the Service.

5. Subscriptions, Billing, and Cancellation

Certain features of OENOCV require a paid subscription. By selecting a paid plan, you authorize OENOCV (via its authorized payment processor) to charge your payment method on a recurring basis at the applicable rate for your selected plan and billing interval.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current paid billing period and you will retain access to paid features until that date.

All fees are non-refundable except where required by applicable law. Nothing in this clause affects your statutory rights as a consumer. If you are a consumer in the European Union or United Kingdom, you may have a statutory right to cancel a digital service within 14 days of purchase; however, this right of withdrawal may not apply if you have already accessed or begun using the digital content.

OENOCV reserves the right to modify subscription pricing with at least 30 days' prior notice communicated by email or within the Service. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

6. Intellectual Property and Ownership of Outputs

The Service and its original content, features, software, and functionality are and will remain the exclusive property of OENOCV and its licensors. Our trademarks and trade dress may not be used without prior written consent.

You retain ownership of the original resume content and personal data you upload to the Service. By uploading content, you grant OENOCV a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account, subject to any applicable legal retention obligations.

OENOCV grants you a non-exclusive, personal, non-transferable license to use and copy documents generated by the Service for your own personal career and employment purposes. You may not commercialize, sublicense, or distribute generated outputs without prior written consent. You acknowledge that AI-generated content may not qualify for copyright protection in all jurisdictions and that OENOCV makes no warranty of originality or copyright ownership in generated outputs.

We do not sell your personal data to third parties.

7. Data Protection and Privacy

Your privacy is important to us. Our collection and processing of personal data — including your resume content, account information, and usage data — is governed by our Privacy Policy, which forms part of these Terms and is incorporated by reference.

Our Privacy Policy describes the lawful bases on which we process your personal data, your rights as a data subject (including rights of access, rectification, erasure, and portability), data retention practices, and how your data may be transferred internationally.

To the extent that you are resident in Nigeria, our processing of your personal data is conducted in accordance with the Nigeria Data Protection Act 2023 (NDPA) and its implementing regulations. To the extent that you are resident in the European Economic Area or the United Kingdom, processing is conducted in accordance with the UK GDPR and EU GDPR respectively. Users in other jurisdictions benefit from equivalent protections as described in our Privacy Policy.

8. Third-Party Services

The Service integrates with and relies on third-party service providers including AI model providers, cloud storage infrastructure, and payment processors. Your use of the Service involves the transmission of certain data to these providers, as further described in our Privacy Policy.

OENOCV is not responsible for the availability, accuracy, or practices of any third-party service. Links to third-party websites or services are provided for convenience only and do not constitute endorsement.

9. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

OENOCV does not warrant that the Service will be uninterrupted, secure, error-free, or free from viruses or other harmful components. OENOCV does not warrant that the results obtained from the use of the Service will be accurate, reliable, or meet your requirements. Nothing in this clause affects any non-excludable statutory guarantees that apply to you under applicable consumer law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall OENOCV, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.

OENOCV's total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the total fees paid by you to OENOCV in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100). This limitation applies regardless of the form of action and whether in contract, tort, or otherwise.

Nothing in these Terms limits OENOCV's liability for death or personal injury caused by its negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. If you are a consumer in a jurisdiction that does not permit certain exclusions or limitations, those exclusions or limitations shall apply only to the maximum extent permitted in your jurisdiction.

11. Indemnification

You agree to defend, indemnify, and hold harmless OENOCV and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service in a manner not permitted by these Terms; (c) your submission of content that infringes third-party intellectual property rights; or (d) your use of AI-generated outputs in contravention of applicable law.

12. Termination and Suspension

OENOCV may suspend or terminate your access to the Service at any time, with or without notice, for conduct that OENOCV reasonably believes violates these Terms, is harmful to other users, OENOCV, or third parties, or for any other legitimate reason at OENOCV's discretion. In the event of termination for cause, you will not be entitled to a refund of any prepaid fees.

You may terminate your account at any time by contacting support@oenocv.ai or through your account settings. Sections 3, 6, 9, 10, 11, 13, and 15 of these Terms survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. This choice of law does not deprive you of any mandatory consumer protection rights available under the laws of your country of habitual residence.

Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall first be submitted to good-faith negotiation by written notice to support@oenocv.ai. If the dispute is not resolved within 30 days of such notice, either party may refer it to binding arbitration administered under mutually agreed rules. Each party shall bear its own costs unless the arbitrator orders otherwise.

If you are a consumer resident in Nigeria, the European Union, or the United Kingdom, the above does not affect your right to bring claims before the courts of your country of habitual residence or to rely on mandatory consumer protection provisions of the law of that country. Nigerian consumers may also refer disputes to the Consumer Protection Council (CPC) or the Federal Competition and Consumer Protection Commission (FCCPC) under applicable Nigerian law.

You acknowledge that you have not relied on any representation, warranty, or statement not expressly set out in these Terms in deciding to use the Service.

14. Force Majeure

OENOCV shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, changes in law or regulation, internet or telecommunications failures, power outages, or the acts or omissions of third-party service providers.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' prior notice by posting the updated Terms on this page and, where reasonably practicable, by sending an email notification to your registered address.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription before the changes take effect.

16. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and OENOCV regarding the Service and supersede all prior agreements, representations, and understandings. You acknowledge that you have not relied on any representations not expressly set out in these Terms.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

OENOCV's failure to enforce any right or provision of these Terms on any occasion shall not be deemed a waiver of such right or provision on any future occasion.
